Workhorse Group (Workhorse) and Motiv Electric Trucks (Motiv) have entered into a definitive merger agreement to combine. Under the merger agreement, following the completion of the all-stock transaction, the Motiv controlling investor will become the majority owner of the combined company and Workhorse shareholders will maintain a significant equity stake. The transaction is expected to close in Q4 2025, subject to Workhorse shareholder approval and other customary closing conditions. The Workhorse special shareholder meeting to vote on the transaction will be held on 11/12. On 11/25, it was announced that Workhouse shareholders approved the merger. Closing of the transaction was announced on 12/15.
